Member Terms for the ShareADeal marketplace
1. Acceptance and Eligibility
These Terms of Service ("Terms") form an agreement between you and ShareADeal LLC. By creating an account, requesting or joining a deal, booking a service, submitting content, or otherwise using the Platform, you agree to these Terms and policies incorporated by reference. You must be at least 18 years old and legally capable of entering a binding agreement.
2. Marketplace Role
ShareADeal is a technology marketplace that helps Members discover, form, share, and join groups for services offered or fulfilled by independent Partners. Unless expressly stated otherwise, ShareADeal is not the provider of the underlying service. Partners are responsible for performance, licensing, personnel, equipment, insurance, and professional obligations.
3. Accounts and Authentication
You must provide accurate, current information and maintain account security. ShareADeal may use email, telephone, passcode, Apple/Google sign-in, identity verification, or other authentication methods. You are responsible for activity under your account except to the extent caused by ShareADeal's failure to use reasonable security measures.
4. Group Deals, Matching, and Availability
Deals may depend on minimum group size, geography, Partner capacity, service windows, pricing, or other conditions. Joining an interest group does not by itself guarantee activation or a particular Partner, price, date, or outcome. Final price and material booking terms will be displayed before a paid booking becomes binding.
5. Pricing, Payments, and Pay Later
Prices, taxes, fees, discounts, credits, and payment timing will be shown in the applicable booking flow. Pay Now authorizes the displayed amount through the selected payment method. Pay Later means payment is due at the stage disclosed in the booking flow, which may include payment to a Partner after service. Third-party payment processors may process transactions, refunds, adjustments, and chargebacks.
6. Scheduling and Service Performance
Members may request preferred dates or time windows. Final scheduling may depend on group formation, Partner availability, routing, capacity, weather, service requirements, and other operational factors. Members must provide safe and reasonable access and accurate service information.
7. Cancellations, Rescheduling, Refunds, and Service Problems
The Refund, Cancellation & Rescheduling Policy is incorporated into these Terms. Booking-specific terms shown before confirmation control where they differ, subject to mandatory law. Members should promptly report material service issues through ShareADeal support.
8. Communications and Automated Systems
You consent to transactional communications reasonably necessary to operate your account and bookings, subject to applicable law. Where available, ShareADeal may use SMS, email, in-app messaging, masked calling, automated systems, or AI-assisted communications. Additional consent may be required for marketing or certain automated communications.
9. Reviews and User Content
If you submit reviews, ratings, photographs, comments, or other content, you retain ownership but grant ShareADeal a nonexclusive, worldwide, royalty-free license to host, reproduce, display, format, moderate, and use the content to operate, improve, and promote the Platform, subject to applicable privacy law. Reviews must be truthful, relevant, lawful, and respectful. ShareADeal may remove content that violates these Terms or applicable policies.
10. Member Conduct
- Do not use the Platform for unlawful, fraudulent, abusive, threatening, discriminatory, or unsafe activity.
- Do not impersonate another person or misuse another person's information.
- Do not interfere with security, reverse engineer or attempt unauthorized access, or scrape the Platform without authorization.
- Do not circumvent the Platform in a manner that violates a confirmed booking or applicable Partner terms.
- Do not use Partner or Member information for unrelated solicitation.
- Do not submit content that infringes intellectual-property, privacy, publicity, or other rights.
10A. Messaging and Member Content Standards
Members who share a group deal can message each other in the Platform's group chats. Objectionable content is not tolerated, including harassment, hate speech, threats, sexually explicit material, spam, and content that is unlawful or infringes the rights of others.
ShareADeal filters certain objectionable language, lets Members report a message and block another Member from within the app, and reviews reports. We may remove content and suspend or terminate the accounts of Members who violate these Terms. To report a concern outside the app, contact info@shareadeal.com.
11. Third-Party Services and Websites
The Platform may integrate payment, maps, authentication, messaging, analytics, advertising, screening, or other third-party services. Those services may have separate terms and privacy policies. ShareADeal does not control third-party websites and is not responsible for their independent practices.
12. Intellectual Property
The Platform, software, branding, designs, text, graphics, and other ShareADeal materials are owned by or licensed to ShareADeal and protected by applicable intellectual-property laws. Except for the limited right to use the Platform under these Terms, no rights are granted without written permission.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SHAREADEAL DOES NOT GUARANTEE THAT A GROUP WILL FORM, A PARTICULAR PARTNER WILL ACCEPT A REQUEST, A PARTICULAR PRICE WILL REMAIN AVAILABLE, OR A SERVICE WILL BE COMPLETED AT A PARTICULAR TIME. NOTHING IN THESE TERMS EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREADEAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM the Platform or a Partner's services.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold ShareADeal and its affiliates, officers, directors, and personnel harmless from third-party claims arising from your unlawful use of the Platform, violation of these Terms, or infringement of another person's rights, subject to applicable law.
16. Suspension and Termination
You may stop using the Platform and request account deletion. ShareADeal may restrict, suspend, or terminate access for fraud, safety concerns, material violations, legal requirements, or risks to the Platform or others, subject to applicable law.
17. Disputes and Governing Law
Texas law governs these Terms except where another law must apply.
18. Changes and General Terms
We may modify these Terms prospectively. Material changes will be communicated as required by law. If a provision is unenforceable, the remaining provisions remain in effect to the extent permitted. These Terms, the Privacy Policy, Refund/Cancellation Policy, and other incorporated policies constitute the agreement governing use of the Platform.
